Terms & Conditions

These Terms and Conditions govern the services provided by Romson Services Corp (“Romson,” “we,” “us,” or “our”) and apply to all proposals, statements of work, quotations, work orders, purchase orders, and service agreements accepted by a client. By signing a proposal, issuing a purchase order, or authorizing Romson to begin work, the Client agrees to these Terms and Conditions.

Services. Romson provides third-party logistics (3PL) support services, including warehouse and distribution center site setup, racking, shelving and workstation installation, material-handling equipment configuration and staging, equipment relocation and decommissioning, project management, labor, and related site-readiness support. The specific scope, deliverables, schedule, and location of each project will be established in the applicable proposal, work order, or agreement. Work outside the agreed scope requires a written change order and may affect pricing and scheduling.

Pricing & Payment. Unless otherwise stated, quotations are valid for 30 calendar days and may be adjusted following final site verification, scope confirmation, or changes in material costs. Standard payment terms are Net 30 unless different terms are specified in the applicable agreement. Deposits or milestone payments may be required for certain projects. Late payments may accrue interest, and Romson may suspend services for accounts more than 30 days past due following written notice.

Client Responsibilities. Clients are responsible for providing accurate site information, plans, specifications, and utility locations; maintaining a safe and compliant work environment; obtaining required permits or property approvals unless otherwise agreed; providing an authorized site representative; and maintaining appropriate insurance for their facility, materials, and equipment.

Changes & Delays. Changes in project scope, schedule, or site conditions that affect the cost or time required to perform the work may require a written change order. Romson will communicate conditions that may cause delays, including site-readiness issues, permitting delays, concealed conditions, or events outside its reasonable control.

Limited Warranty. Romson warrants its workmanship for 12 months from substantial completion unless otherwise specified in the applicable agreement. For a valid workmanship claim submitted during the warranty period, Romson may re-perform the affected work or issue a credit for the affected invoiced amount. Equipment and materials supplied by Romson remain subject to the applicable manufacturer's warranty. The warranty does not cover normal wear, misuse, overloading, unauthorized modifications or repairs, undisclosed site conditions, force majeure events, inadequate maintenance, or use outside the intended purpose.

Insurance & Safety. Romson maintains Commercial General Liability, Workers’ Compensation where required, Automobile Liability, and Umbrella/Excess Liability insurance consistent with industry standards. Romson personnel follow applicable safety requirements, use required personal protective equipment, and comply with relevant equipment and material-handling safety procedures.

Confidentiality & Intellectual Property. Each party agrees to reasonably protect confidential and proprietary information exchanged in connection with a project. Client-specific site plans, installation drawings, and process documentation prepared by Romson are licensed to the Client for use with the completed work upon full payment. Romson retains ownership of its pre-existing methodologies, templates, and proprietary techniques.

Liability. Except for certain excluded claims described in the full Terms, neither party will be liable for indirect, incidental, consequential, special, or punitive damages. Romson's aggregate liability related to an Order Document is limited to the fees paid for the specific Services giving rise to the claim during the preceding 12 months.

Termination & Force Majeure. Either party may terminate an agreement for an uncured material breach subject to the notice periods established in the applicable Terms. Clients may also terminate for convenience with 15 days’ written notice, subject to payment for completed services and non-cancellable costs. Neither party is responsible for delays or failures caused by events outside its reasonable control.

Governing Law & Disputes. These Terms are governed by the laws of the State of Florida. The parties will first attempt to resolve disputes through good-faith negotiation and, if unresolved within 30 days, non-binding mediation before litigation, subject to any mandatory procedures applicable to government contracts.
